It is a branch insurance company of Tri-State Consumer Inc. and was legally incorporated under the State of New York on 1982, licensed in 1985, and commenced business operations on 1986.

In the year 1990, Penny Fern and Dean Evan Hart wholly obtained Tri-State Consumer Inc, in accordance to a trust agreement. By November of 2007, the owners entered into a stock purchase agreement with WBL Partners, LLC headed by Charles K. Slatery and James D. Lackie to acquire Tri-State Consumer Inc. and its other branches.

Tri-State Consumer Inc. incorporated TSC Direct Inc. to create businesses and other transactions. Its management includes the Board of Directors which consist of not less than thirteen to over forty members.
